By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. Acceptance of Terms
By purchasing, downloading, installing, activating, or using the Plugin, accessing our website, or engaging with our Services, you acknowledge that you have read, understood, and agree to these Terms. These Terms form a legally binding agreement between you (“User,” “you,” or “your”) and WooSync (“we,” “us,” or “our”). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Eligibility
To use our Services, you must:
- Be at least 18 years old or the age of majority in your jurisdiction.
- Have the legal capacity to enter into binding contracts.
- Comply with all applicable laws, including South Africa’s Electronic Communications and Transactions Act (ECTA) and data protection laws such as the Protection of Personal Information Act (POPIA).
3. Description of Services
The WooCommerce Google Sheets Sync Plugin enables real-time synchronization between WooCommerce products and Google Sheets, allowing users to update product details such as SKU, product name, price, inventory, and descriptions. Key features include:
- Real-time synchronization (export Products to Google Sheets. Sync directly to WooCommerce website. ).
- Flexible field mapping between Google Sheets columns and WooCommerce fields.
- Secure authentication via Google Service Account.
- Comprehensive sync logging and manual sync options.
- Configurable sync frequency (e.g., every 5 minutes, hourly).
The Plugin integrates with the Google Sheets API and operates within your WordPress and WooCommerce environment. Our website provides information about the Plugin, support resources, and a purchase platform. Payments are processed securely via Stripe in US dollars.
4. License and Usage Rights
4.1 License Grant
Upon purchase of the Plugin, we will email you a unique license key (e.g., F29O-****-****-****) required to activate the Plugin. Once activated with a valid license key, we grant you a non-exclusive, non-transferable, revocable license to use the Plugin on a single WordPress installation, subject to these Terms. The Plugin is licensed under the GNU General Public License (GPL) v2 or later, allowing you to modify and distribute the source code as permitted by the GPL, provided you comply with its terms. The Plugin will not function without a valid, activated license key.
4.2 License Key Activation
- Issuance: After successful payment via Stripe, you will receive an email containing your unique license key. This key is tied to your purchase and WordPress installation.
- Activation: You must enter the license key in the Plugin’s settings within your WordPress admin panel to activate and enable full functionality. Without a valid license key, the Plugin will not operate.
- Single Use: Each license key is valid for one WordPress installation. Using the same license key on multiple installations is prohibited unless additional licenses are purchased.
- Deactivate & Reuse: This license is limited to one site use only. If you want to use your plugin on a different website, you need to deactivate the license on your current website, then the license will become available again to use on a different website .
- Verification: The Plugin may periodically verify the license key with our servers to ensure compliance. You consent to this verification process, which uses secure HTTPS communication.
4.3 Restrictions
You may not:
- Use the Plugin without a valid, activated license key.
- Share, distribute, or transfer your license key to third parties.
- Use the Plugin on multiple WordPress installations without purchasing additional licenses.
- Reverse-engineer, decompile, or disassemble the Plugin, except as permitted by applicable law or the GPL.
- Remove or modify any copyright, trademark, or proprietary notices in the Plugin.
- Use the Plugin for unlawful purposes or in violation of these Terms.
- Distribute or sell the Plugin as a standalone product without adhering to GPL terms.
4.4 Updates and Support
We may provide updates to the Plugin, including bug fixes, security patches, or new features, which require a valid license key for access. Updates are subject to these Terms. Support is available via email at support@woosync.site, and we aim to respond within a reasonable timeframe, typically within 48 hours, subject to our support policies. Support requests must include your license key for verification.
5. User Responsibilities
5.1 Account and Credentials
You are responsible for:
- Providing accurate and complete information when purchasing or configuring the Plugin.
- Maintaining the confidentiality of your license key, Google Service Account credentials, and WordPress account details.
- Notifying us immediately at support@woosync.site if your license key or account is compromised or used without authorization.
5.2 Google Sheets API Compliance
To use the Plugin, you must:
- Create a Google Cloud Project and enable the Google Sheets API.
- Share your Google Sheet with the Service Account email as an editor, as outlined in the Plugin’s documentation.
- Comply with Google’s Terms of Service (https://policies.google.com/terms) and API usage limits (e.g., 100 requests per 100 seconds per user).
5.3 Data Accuracy
You are responsible for the accuracy and legality of data entered into your Google Sheet for synchronization. We are not liable for errors, omissions, or unlawful content in your Google Sheet or WooCommerce store.
5.4 System Requirements
You must ensure your WordPress installation meets the Plugin’s requirements:
- WordPress 5.0 or higher.
- WooCommerce 5.0 or higher.
- PHP 7.4 or higher.
- A valid Google Cloud Project with Sheets API enabled.
Failure to meet these requirements may result in Plugin malfunctions, for which we are not liable.
6. Intellectual Property
6.1 Ownership
The Plugin, website, license key system, and related documentation are owned by WooSync and are protected by copyright, trademark, and other intellectual property laws. The Plugin is licensed under GPL v2 or later, granting you certain rights to modify and distribute the source code, subject to GPL terms.
6.2 User Content
You retain ownership of any data you enter into your Google Sheet or WooCommerce store. By using the Plugin, you grant us a limited, non-exclusive, worldwide, royalty-free license to process this data solely to provide the Services (e.g., synchronization).
6.3 Feedback
If you provide feedback, suggestions, or contributions regarding the Services, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into our Services without compensation.
7. Third-Party Services
The Plugin integrates with third-party services, including:
- Google Sheets API: Governed by Google’s Terms of Service and Privacy Policy.
- Stripe: Payment processing is handled by Stripe, subject to their Terms of Service (https://stripe.com/legal).
- WordPress and WooCommerce: The Plugin operates within your WordPress and WooCommerce environment, subject to their respective terms.
We are not responsible for the performance, availability, or policies of these third-party services.
8. Prohibited Conduct
You agree not to:
- Use the Services for illegal, fraudulent, or harmful purposes.
- Share or misuse your license key to enable unauthorized access to the Plugin.
- Attempt to bypass security measures, including license key verification, WordPress nonces, or API authentication.
- Overload or abuse the Google Sheets API beyond its limits.
- Use the Plugin to transmit malicious code, viruses, or harmful content.
- Interfere with other users’ access to the Services.
- Scrape, copy, or reproduce our website or Plugin content without permission, except as allowed under GPL.
9. Limitation of Liability
To the fullest extent permitted by law, including ECTA:
- The Services are provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services.
- Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you paid for the Plugin in the preceding 12 months.
- We are not responsible for:
- Errors or delays caused by third-party services (e.g., Google, Stripe, WordPress).
- Data loss or corruption in your Google Sheet or WooCommerce store.
- Failure to meet Plugin requirements, improper configuration, or invalid license keys.
- Exceeding Google Sheets API quotas, which may result in sync failures.
10. Indemnification
You agree to indemnify and hold harmless WooSync, its affiliates, officers, and employees from any claims, damages, or liabilities (including reasonable legal fees) arising from:
- Your use of the Services in violation of these Terms, including misuse of your license key.
- Your violation of applicable laws or third-party rights.
- The content you provide via the Services.
11. Termination
We may suspend or terminate your access to the Services, including deactivation of your license key, if you violate these Terms or engage in prohibited conduct. Upon termination:
- Your license to use the Plugin will end.
- You must cease using the Plugin and delete it from your WordPress installation.
- Your license key will be deactivated, rendering the Plugin non-functional.
- Termination does not affect any obligations or liabilities accrued prior to termination.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of South Africa, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Western Cape, South Africa.
13. Changes to These Terms
We may update these Terms to reflect changes in our Services or legal requirements. We will notify you of significant changes by posting the updated Terms on our website with a revised “Last Updated” date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
14. Miscellaneous
14.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and WooSync regarding the Services, superseding any prior agreements.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign your rights or obligations under these Terms, including your license key, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
14.5 Force Majeure
We are not liable for delays or failures in performance due to events beyond our reasonable control, such as natural disasters, internet outages, or third-party service failures.
